ACE Society — Terms & Conditions of Sale

Preamble

ACE Society is a private membership network connecting accomplished business and investment professionals across Abu Dhabi and Riyadh. These Terms & Conditions of Sale ("Terms") govern every application, purchase and membership made through acesociety.online.

These Terms are drafted with reference to the United Arab Emirates' Federal Law No. 15 of 2020 on Consumer Protection and its Executive Regulations (Cabinet Decision No. 66 of 2023), the UAE's Federal Decree-Law No. 14 of 2023 on Trading through Modern Technical Means, and the Kingdom of Saudi Arabia's E-Commerce Law (Royal Decree No. M/126) and its Implementing Regulations. Where any provision of these Terms conflicts with a mandatory right granted to a Member under either framework, that mandatory right prevails.

1. The Company

ACE Society is operated by M Holding Investments LLC, a Wyoming limited liability company. For any question regarding these Terms, an order, or a membership: contact@acesociety.online.

2. Definitions

"Member" means any individual whose application has been accepted and who holds an active Signature, Circle or VIP membership. "Member Access" refers to the application form used for the Signature and Circle tiers. "VIP Candidature" refers to the application form used for the VIP tier. "ACE Gatherings" refers to in-person events organised by ACE Society in Abu Dhabi and Riyadh.

3. Membership Tiers

ACE Society offers three tiers of access: Signature, Circle and VIP. The composition, benefits and pricing of each tier are described in full on acesociety.online at the time of application and are incorporated into these Terms by reference. ACE Society reserves the right to adjust the composition of future cohorts; changes do not affect memberships already confirmed.

4. Pricing and Payment

4.1 All prices displayed on acesociety.online are stated in United Arab Emirates Dirhams (AED) and shown in full, including any applicable taxes or fees known to ACE Society at the time of display, before a Member completes payment.

4.2 Payment for Signature and Circle memberships is processed at the time of application, through Stripe. Payment for VIP membership is requested only after the VIP Candidature has been reviewed and accepted; no VIP payment is taken at the time of application.

4.3 ACE Society does not collect, view or store card details. All payment data is handled directly by Stripe, Inc. under its own security standards.

4.4 Where a promotional or affiliate code is applied, it is used solely for attribution and tracking purposes and does not change the price displayed to the Member.

5. Application and Acceptance

5.1 Signature and Circle: membership is confirmed upon successful payment and completion of the Member Access form.

5.2 VIP: membership is granted at ACE Society's discretion, following manual review of the VIP Candidature. Submitting a VIP Candidature does not guarantee acceptance. Applicants who are not accepted are not charged.

5.3 ACE Society may decline any application, at any stage, where the applicant does not meet the network's admission criteria, where information provided is inaccurate, or where acceptance would be inconsistent with the discretion and quality the network is built on.

6. Right of Withdrawal and Refund Policy

6.1 A Member may withdraw from a confirmed Signature or Circle membership within seven (7) days of payment, without giving a reason, and receive a full refund, provided that no Member Lounge access, ACE Directory listing, or ACE Gathering invitation tied to that membership has yet been used or delivered.

6.2 Once any benefit attached to the membership has been accessed or delivered — including but not limited to Member Lounge access or shipment of the ACE Membership Kit — the membership is treated as having been substantially performed, and the right of withdrawal under 6.1 no longer applies, consistent with the treatment of digital content and services that have begun to be supplied.

6.3 VIP membership, being granted only after acceptance and paid at that point, may be withdrawn within seven (7) days of payment on the same conditions as 6.1 and 6.2.

6.4 Approved refunds are returned using the original payment method, within a reasonable timeframe and in any event no later than fourteen (14) days from the withdrawal request.

6.5 This Article 6 does not limit any statutory right of refund or replacement a Member may hold where a service is materially not as described.

7. The ACE Membership Kit

Signature and Circle members are entitled to receive a physical ACE Membership Kit. The Kit is shipped in a single coordinated round once the ACE Elite I cohort closes, rather than individually upon each membership confirmation. ACE Society will communicate the expected shipping window to Members once the cohort's closing date is confirmed. Should delivery be substantially delayed beyond that communicated window without valid justification, the Member may request cancellation of this benefit and a corresponding remedy.

8. Member Conduct

Members agree to engage with the network, its other Members and its staff with the discretion, professionalism and good faith that ACE Society is built on. ACE Society may suspend or terminate, without refund, the membership of any individual who misrepresents their application, breaches confidentiality expectations within the network, or engages in conduct that endangers other Members or the integrity of the network.

9. Intellectual Property

The ACE Society name, brand, visual identity, and all content published on acesociety.online belong to ACE Society or its licensors. Nothing in these Terms transfers any such rights to a Member.

10. Liability

ACE Society takes reasonable care in organising the network, its lounges and its Gatherings, but does not guarantee specific business, investment or networking outcomes for any Member. To the extent permitted by applicable law, ACE Society's liability for any claim relating to a membership is limited to the amount paid by the Member for that membership. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or for breach of a Member's statutory rights under applicable consumer protection law.

11. Data Protection

ACE Society processes Member data in accordance with its Data Protection & Privacy Policy, available at acesociety.online/politique-de-confidentialite, which forms part of these Terms.

12. Force Majeure

ACE Society is not liable for any delay or failure to perform an obligation under these Terms where that delay or failure results from circumstances beyond its reasonable control, including but not limited to natural disasters, governmental action, or failures of third-party payment or logistics providers.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, United States of America. Any dispute that cannot be resolved amicably shall be submitted to the competent courts of the State of Wyoming, without prejudice to any mandatory consumer protection right a Member may hold under the law of the country in which they reside, which the courts of that country may apply notwithstanding this clause.

14. Language

These Terms are made available in English, French and Arabic. In the event of any discrepancy between language versions, the English version prevails.

15. Amendments

ACE Society may update these Terms as the network evolves. The version in force is the one published on this page, dated above. Material changes are communicated to Members through ACE Announcements and do not apply retroactively to memberships already confirmed.
